This is done through the company cPanel and the Google Console* who do not collect or process “sensitive” data that is subject to GDPR. Web Seedlings uses this data to determine the number of people using the site, to better understand how they find and use the web pages and to see your journey through the website. Although cPanel and the Google Console* record data such as your geographical location, device type, internet browser and operating system, none of this information personally identifies you to Web Seedlings. *The use of the Google Search Console does not have to be stated in the data protection declaration, as the website operator does not have to inform according to Art. 13 and 14 GDPR.

TERMS & CONDITIONS
The following terms and conditions apply to all services, including website development, design services and monthly maintenance services, (the Services) provided by Web Seedlings to the Client, in conjunction with any relevant quotation provided to the Client by Web Seedlings (Terms), unless otherwise agreed in writing. Acceptance of a quote, purchase and/or use of the Services shall be considered acceptance of the Terms.
CHARGES
Charges for the Services are defined in the project quotation that the Client receives from Web Seedlings via email. Quotations are valid for a period of 30 days. Web Seedlings reserves the right to alter a quotation or decline to provide the relevant Services after expiry of the 30 days.
Unless agreed otherwise with the Client, all website design services require an advance payment as advised in the quotation before the work commences. A second payment may be due if the project has been delayed by the client beyond the agreed timescales of the project with Web Seedlings. The remaining project quotation total is due upon completion of the work, prior to upload to the server or release of materials.
The Client agrees to reimburse Web Seedlings for any additional expenses necessary for the completion of the work. Expenses may include (but are not limited to) purchase of additional domain names (other than those agreed with the client), special fonts, stock photography or significant changes to the project brief agreed at the start of the project.
INVOICING & PAYMENT
Web Seedlings shall submit invoices in line with the timescales above. Invoices are sent via email. Payment is due on receipt of the invoice by the Client.
Payment for services is due by bank transfer. Bank details will be made available on invoices. For the monthly maintenance fee, the preferred payment method is by standing order.
If the Client fails to make any payment due to Web Seedlings by the due date for payment, then, without limiting Web Seedlings’ remedies under or in connection with these terms and conditions, the Client shall pay interest on the overdue amount at the rate of 4% per annum above the Bank of England’s base rate. Such interest shall accrue on a daily basis from the due date until actual payment of the overdue amount, whether before or after judgment. The Client shall pay the interest together with the overdue amount.
Accounts unpaid thirty (30) days after the date of invoice will be considered in default. If the Client in default maintains any information or files on Web Seedlings web space, Web Seedlings will, at its discretion, remove all such material from its web space. Web Seedlings is not responsible for any loss of data incurred due to the removal of the service. Removal of such material does not relieve the Client of the obligation to pay any outstanding charges assessed to the Client’s account. Clients with accounts in default agree to pay Web Seedlings reasonable expenses, including legal fees and costs for collection by third-party agencies, incurred by Web Seedlings in enforcing these Terms.
CLIENT REVIEW
Web Seedlings will provide the Client with an opportunity to review the appearance and content of the website during the design phase and once the overall website development is completed. At the completion of the project, such materials will be deemed to be accepted and approved unless the Client notifies Web Seedlings otherwise within ten (10) days of the date the materials are made available to the Client.
WEBSITE CONTENT
Web Seedlings is a small business, and to remain efficient I must ensure that work I have programmed is carried out at the scheduled time. On occasions I may have to reject offers for other work and enquiries to ensure that your work is completed at the time arranged.
This is why I kindly request that the Client provides all the required information in advance. On any occasion where progress cannot be made with the Client’s website because I have not been given the required information in the agreed time frame, and I am delayed as result, I reserve the right to impose a surcharge of up to 25% of the Charges.
WEB BROWSERS
Web Seedlings makes every effort to ensure websites are designed to be viewed by the majority of visitors. Websites are designed to work with the most popular current browsers (e.g. Safari, Firefox, Google Chrome, Microsoft Edge etc.). The Client agrees that Web Seedlings cannot guarantee correct functionality with all browser software across different operating systems.
Web Seedlings cannot accept responsibility for web pages which do not display acceptably in new versions of browsers released after the website has been designed and made live. As Web Seedlings websites are built in raw HTML code and are not reliant on third party content management systems which update their own systems, Web Seedlings reserves the right to quote for any work involved in changing the website design or website code, should there be a significant browser update, for it to work with updated browser software. Any minor alterations of browser updates are included in the monthly fee.
WEBSITE OWNERSHIP
Text & visual content - Any assets you provided to Web Seedlings, editorial content, photography, artwork, etc., belong to you, although if Web Seedlings created it, it legally belongs to Web Seedlings.
The web design - whoever designs the content for your site is the one who has the copyright on it.
HTML/CSS/JavaScript code - As Web Seedlings will be the author of the code, the ownership remains with the creator of the website.
Web server and domain name - A web server is the computer system that operates the Web Server Platform that hosts (or stores) your website. Web Seedlings leases this platform from the hosting company Krystal. If Web Seedlings has purchased the domain on your behalf, then Web Seedlings is the owner of the domain.
TERMINATION
Termination of services by the Client must be requested in a written notice or by email and will be effective on receipt of such notice. Telephone requests for termination of services will not be honoured until and unless confirmed in writing. The Client will be invoiced for work completed (including any expenses incurred, as outlined above) to the date of first notice of cancellation for payment in full within thirty (30) days.
DOMAIN RENEWAL, TRANSFER & TERMINATION
If Web Seedlings owns your domain, the domain would have been purchased on your behalf upon the projects completion, or before if requested by the client, for the term of a year from that date and the fees incurred for this are incorporated within the monthly fee. Web Seedlings will continue to renew your domain annually on your behalf unless the client has requested otherwise in writing or by email. If the client wishes to terminate the domain before the annual domain renewal, then a fee will apply depending on the number of months remaining. If you wish to transfer out your domain to another provider, a £25 admin fee will apply. For a Domain transfer or termination a 30 day notice period is required.
THE MONTHLY MAINTENANCE FEE
The monthly maintenance fee consists of six parts:
1. If Web Seedlings purchased your domain; the purchase and annual renewal of your domain and any email accounts related to this.
2. The security certificates for your domain when the website is live whether Web Seedlings manages/purchased your domain or not.
3. The cost of hosting your website i.e. all the files, images and databases and the maintenance relating to this; i.e. bug fixes and software/browser updates.
4. All website pages are submitted to the leading search engines on a weekly basis and through the Google Console and Bing Webmaster.
5. Minor alternations to existing text (This only applies to Packages 2,3 & 4 as stated on the Packages page on the website). This does not include additional pages, additional sections added to pages or page layout changes, (any additions will quoted separately on a per hour basis).
6. Some of the Web Seedlings packages also include site analytics. Details of this will be provided on your invoice.
The Web Seedlings packages include all of the parts mentioned above (apart from where part 1, 5 & 6 do not apply). Should you wish to amend the level of maintenance, the terms below apply:
1. Please provide a written request (either by email or in writing) to discuss your monthly maintenance fee with Web Seedlings, ahead of any changes to your standing order. Web Seedlings will then provide a new monthly maintenance amount and adjusted invoice for this.
2. You can only remove parts 4, 5 & 6 (where 6 applies).
3. A minimum of 6 months notice period is required from when the website goes live or 30 days notice after that.
4. A minimum monthly amount will always apply for having a website with Web Seedlings to cover the costs for hosting the files, maintenance and security relating to that.
4. If a reduction has been made, then the Package details stated on the website will no longer apply.
